Investing in the securities of any Issuer referenced by the Publisher carries substantial risk. The risks described below are illustrative only and are not intended to be exhaustive. Recipients should carefully evaluate these risks — as well as any other risks they identify through their own research — before making any investment decisions:
- Ticker Tagging Practices: The Publisher may associate an Issuer's name or stock ticker symbol with the name or symbol of a larger, more well-known company in order to attract attention and generate interest. This practice, known as "Ticker Tagging," is designed solely as a promotional mechanism intended to drive traffic to web pages containing the Information. Content contained within Ticker Tags may be incomplete, misleading, or inaccurate, and exists exclusively to capture a reader's attention. Under no circumstances should Recipients rely on Ticker Tags when evaluating whether to make an investment.
- Variations Between Campaigns: Each Campaign may differ significantly in scope, duration, intensity, and the types of Media employed. The Publisher may deploy different types of Media at different times and target different groups of Recipients with different messaging. Campaigns may be structured and coordinated in a manner designed to produce temporary increases in the trading volume and price of an Issuer's securities. Any such increases in volume or price during a Campaign should not be interpreted as evidence of genuine value, sustainable pricing, or fundamental business strength.
- Timing Disparities and Price Discrepancies: The Publisher may distribute the Information over varying timeframes — ranging from minutes to hours, days, weeks, or even months apart. As a consequence, Recipients who encounter the Information earlier in the distribution cycle may have the opportunity to purchase an Issuer's securities at lower prices, while Recipients who receive the Information at later stages are more likely to pay inflated prices and face a substantially higher risk of incurring trading losses. Any temporary increases in volume and price during a Campaign are typically driven by purchasing activity from Recipients responding to the Information. Investing on the basis of these artificially inflated metrics will likely result in significant financial losses.
- One-Sided Favorable Presentation: Because the Publisher receives compensation to present Issuers favorably, the Publisher does not publish negative, adverse, or critical information about any Issuer. The Information is therefore inherently one-sided, incomplete, and biased. It presents only a selected, favorable portrayal and should not be considered balanced, complete, accurate, truthful, or reliable. Relying on such Information as a basis for investment decisions will likely result in the loss of your investment.

- Potential Delinquencies in Reporting Obligations: If an Issuer is an SEC reporting company, it may be delinquent or not current in its periodic reporting obligations with the SEC. If the Issuer's securities are quoted on OTC Markets Pink Sheets, the Issuer may likewise be delinquent in its OTC Markets reporting obligations. Such delinquencies could result in OTC Markets assigning negative designations to the Issuer, including: (i) "Limited Information" — indicating companies with financial reporting problems, economic distress, or an unwillingness to file required reports with the applicable regulatory body; (ii) "No Information" — indicating companies that are unable or unwilling to provide any form of disclosure to the public markets, the SEC, or OTC Markets; and (iii) "Caveat Emptor" — a buyer-beware warning signaling that a public interest concern exists, such as involvement in an illegal spam campaign, questionable stock promotion activity, an ongoing investigation of fraudulent activity involving the company or its insiders, regulatory trading suspensions, or disruptive corporate actions.
- Information Provided on an "As Is" Basis: Recipients' access to and use of the Information is undertaken entirely at their own risk. All Information is provided on an "as is" and "as available" basis, with no warranties or guarantees of any kind, whether express, implied, or statutory. The Publisher shall not be responsible or liable for any person's use of the Information or for any success or failure, financial or otherwise, that is directly or indirectly related to such use. When Selling Parties sell, the trading volume and price of the Issuer's securities will likely decline, reducing the price at which Recipients can sell their holdings and likely causing Recipients to suffer significant trading losses.
- Volatility Created by Compensated Trading Activity: When Selling Parties acquire, purchase, or sell the securities of an Issuer, such activity may: (i) cause significant and unpredictable volatility in the Issuer's securities; (ii) if purchasing, create temporary but artificial and unrealistic increases in trading volume and price; and (iii) if selling, cause dramatic and rapid declines in both the stock price and trading volume, resulting in substantial profits for Selling Parties while Recipients simultaneously experience significant and potentially total losses.
- Design and Objective of Campaigns: The Campaigns are specifically designed and structured to increase the trading price of an Issuer's securities by encouraging Recipients to purchase those securities — regardless of whether such securities represent a sound, prudent, or appropriate investment. The trading price of an Issuer's securities will very likely decline dramatically when the Campaign concludes. Any reliance on Campaign-driven Information when making investment decisions will likely result in the loss of most or all of your investment.
- Artificial Price Increases During Campaigns: If the trading price of an Issuer's securities increases during a Campaign period, such increase is most likely the direct result of buying activity generated by the Campaign itself. Such price increases do not reflect the Issuer's actual business prospects, financial condition, or any genuine intrinsic increase in the value of its securities.
- Potential Regulatory and Enforcement Consequences: If Selling Parties hold or are compensated with improperly designated free-trading securities of an Issuer, whether directly or indirectly, the Selling Parties and/or the Issuer may become the subject of an SEC Enforcement action or other regulatory proceeding, including allegations of conducting an illegal distribution in violation of Section 5(a) and 5(c) of the Securities Act of 1933. Any such regulatory action could further and severely adversely affect the value of your investment.
- Involvement of Third-Party Service Providers: The Publisher may retain and engage third-party service providers to assist in the distribution of the Information and may not exercise full control or oversight over such parties or the manner in which they distribute the Information. - The Publisher receives monetary compensation and/or securities in exchange for creating and disseminating favorable Information about the Issuers.
